1. Acceptance of these terms
By creating an account, accessing, or using the Wrenchable platform (the "Service"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Wrenchable Software LLC, a Florida limited liability company ("we," "us"). You must be at least 18 years old and authorized to bind the business you represent (if any).
2. The Service
Wrenchable provides software for mobile RV repair technicians and small service shops, including customer relationship management, scheduling, estimating, invoicing, integrated SMS / voice communications, and parts lookup tools. We may add, modify, or remove features over time. Where features depend on third-party services (Twilio for messaging, Stripe for payments, parts distributors for live pricing), availability of those features depends on the third party's continued availability.
3. Your account
- You are responsible for keeping your sign-in credentials confidential.
- You agree to provide accurate, current information and update it as needed.
- You are responsible for all activity under your account.
- Notify us promptly at support@wrenchable.ai if you suspect unauthorized access.
4. Acceptable use
You agree NOT to:
- Use the Service for any unlawful purpose or to violate any law in your jurisdiction
- Send unsolicited messages (spam) or marketing communications without the recipient's prior express consent
- Send messages to recipients who have opted out
- Misrepresent yourself, your business, or the source of any communication sent through the Service
- Attempt to access another user's account or data
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Interfere with or disrupt the Service's infrastructure
- Use the Service to send content that is harassing, threatening, defamatory, obscene, or infringes any third party's rights
- Resell, sublicense, or commercially redistribute the Service without our prior written consent
5. SMS / messaging terms
When you use Wrenchable to send SMS messages to your customers, the following apply:
- Consent is your responsibility. You represent and warrant that you have obtained valid prior express consent from each recipient to receive SMS messages, in accordance with the Telephone Consumer Protection Act (TCPA), the FCC's regulations, the CTIA Messaging Principles and Best Practices, and any other applicable law in the jurisdiction of the recipient.
- Honor opt-outs immediately. If a recipient replies
STOP(or any common opt-out keyword:END,CANCEL,UNSUBSCRIBE,QUIT), you must not send further SMS messages to that recipient. The platform automatically blocks further sends to opted-out recipients on your behalf. - Honor HELP requests. If a recipient replies
HELP, the platform automatically responds with our standard help text including support contact information. - Content restrictions. You agree not to use the SMS feature to send content prohibited by carriers or by the CTIA's Messaging Principles, including but not limited to: SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) without proper age-gating; gambling content; cannabis content; debt collection without compliance with applicable law; or political messaging without appropriate disclosures.
- Carrier compliance. The Service uses Twilio's infrastructure for SMS delivery. Your sending privileges may be limited or suspended if Twilio or carriers (AT&T, Verizon, T-Mobile, and others) flag your traffic for non-compliance, regardless of our determination. We cannot guarantee delivery of any specific message; carriers may block, throttle, or filter messages at their discretion.
- We may suspend. We reserve the right to suspend your messaging privileges, or your account, immediately if we detect spam, non-compliance, or carrier-flagged traffic. Suspension does not waive any obligations under these Terms.
6. Customer data and your responsibilities as a data controller
When you upload, create, or store information about your customers ("Customer Data") in the Service, you act as the data controller for that information and we act as the processor. You represent that you have the legal right to collect, store, and process the Customer Data, and that your use of the Service to do so complies with applicable privacy laws. 7. Subscription, billing, and refunds
- Subscription fees are billed monthly or annually as you select at sign-up.
- Fees are charged in advance and are non-refundable except where required by applicable law.
- You may cancel at any time. Cancellation takes effect at the end of the current billing period; you retain access until then.
- If a payment fails, we will retry; if we cannot collect after a reasonable retry window, your account may be suspended.
- We may change pricing with at least 30 days' notice by email; price changes apply at your next renewal.
8. Third-party services and payment processing
The Service integrates with Twilio (SMS / voice), Stripe (payments, including Stripe Connect for collecting payments from your customers), Supabase (database and authentication), and Vercel (hosting). Your use of those features is also subject to the respective third party's terms. We are not responsible for outages, billing errors, or actions taken by these third parties, though we will work in good faith to resolve incidents that affect the Service.
For Stripe Connect specifically: when you accept payments from your customers through the Service, Stripe is the payment processor and merchant of record. You agree to Stripe's Connected Account Agreement and Stripe Services Agreement. Wrenchable Software LLC does not hold or move funds.
9. Intellectual property
The Service, including its software, design, branding, and documentation, is our property and is protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription, subject to these Terms. You retain all rights to your Customer Data and to content you create using the Service.
10. Termination
- You may terminate your account at any time via Settings → Account → Close account.
- We may suspend or terminate your account, with or without notice, if you breach these Terms, fail to pay fees, or engage in fraudulent or unlawful activity.
- Upon termination, your access ceases immediately. Your data is retained for 30 days, then permanently deleted, unless we are legally required to retain it longer.
- Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, governing law) survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY MESSAGE SENT THROUGH THE SERVICE WILL BE DELIVERED.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WRENCHABLE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.
13. Indemnification
You agree to defend, indemnify, and hold harmless Wrenchable Software LLC and its officers, directors, employees, and agents from any claim, damage, liability, or expense (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your use of the Service, (c) your Customer Data, (d) any messages you send through the Service (including TCPA, CAN-SPAM, or carrier-rule violations), or (e) your violation of any third party's rights.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws provisions. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in Brevard County, Florida, and you consent to the personal jurisdiction of those courts.
15. Changes to these Terms
We may modify these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the modified Terms.
